Sections 260 and 284 of the Companies Act, 1956 state that an organization's Articles of Association serve as the source of authority from which the Board of Directors derives the authority to appoint new directors or remove current ones.

The incorporation's articles must allow for the addition of more directors. The designated person must agree to be a chief in written form, which the organization must register with itself, and must be qualified in accordance with the applicable requirements in the Articles of Association.
